Introduction
These Terms & Conditions (“Terms”) govern the use of the HT Global Circuits website and the purchase of printed circuit boards (“PCBs”) and related PCB fabrication services from HT Global Circuits (“HT Global Circuits,” “HTGC,” “we,” “us,” or “our”).
By accessing or using this website, submitting an inquiry or request for quotation (“RFQ”), requesting a quote, placing an order, or purchasing products from HT Global Circuits, you (“Customer,” “Buyer,” or “you”) acknowledge that you have read, understood, and agree to these Terms.
For specific orders, the applicable quotation, order acknowledgment, purchase order accepted by HT Global Circuits, invoice, and any mutually agreed written specifications may contain additional terms that apply to that transaction. In the event of a conflict, the terms expressly accepted in writing by HT Global Circuits for the applicable transaction will control.
1. Scope of Products and Services
HT Global Circuits manufactures and supplies bare printed circuit boards, including rigid, flexible, rigid-flex, RF/high-frequency, HDI, metal-core, aluminum, and heavy-copper PCB products, subject to the capabilities, specifications, and requirements stated in the applicable quotation or order documentation.
HT Global Circuits provides PCB fabrication and manufacturing services based on customer-supplied manufacturing data and specifications.
Unless expressly agreed in writing, HT Global Circuits does not assume responsibility for the underlying electrical design, circuit functionality, system design, or intended application of the customer’s product.
2. Website Use
The information provided on this website is intended for general informational purposes. While HT Global Circuits makes reasonable efforts to maintain accurate and current information, product descriptions, technical information, capabilities, lead times, certifications, specifications, and other website content may change without notice.
Website content does not constitute a binding offer to sell unless expressly stated otherwise in a written quotation or order acknowledgment issued by HT Global Circuits.
Customers should rely on the specifications, requirements, pricing, lead time, and other terms stated in the applicable quotation and order documentation when placing an order.
3. Quotations and Pricing
All quotations are subject to the terms stated in the applicable quotation.
Unless otherwise specified in writing:
- Prices are quoted in U.S. dollars.
- Taxes, duties, tariffs, freight, insurance, and other applicable charges may be additional.
- A quotation is based on the technical information, files, specifications, quantities, materials, and other information available to HT Global Circuits at the time of quotation.
- Changes to customer-supplied data, specifications, quantities, materials, finishes, tolerances, testing requirements, delivery requirements, or other order conditions may require a revised quotation.
- HT Global Circuits reserves the right to correct clerical, typographical, pricing, or calculation errors in quotations.
- Material availability and market conditions may affect pricing and delivery schedules.
- Unless otherwise stated on the quotation, quoted pricing is not a guarantee that materials or production capacity will remain available indefinitely.
Quotation Validity: Unless otherwise stated in writing, quotations are valid for thirty (30) days from the date of issuance.
A quotation becomes binding only when accepted by HT Global Circuits in accordance with its applicable order-acceptance process.
4. Customer-Supplied Data and Specifications
The Customer is responsible for providing complete, accurate, current, and manufacturable production data and specifications necessary for PCB fabrication.
Customer-supplied information may include, as applicable:
- Gerber files
- ODB++ or IPC-2581 data
- Fabrication drawings
- Stack-up requirements
- Material specifications
- Copper weights
- Board dimensions and tolerances
- Surface-finish requirements
- Solder mask and marking requirements
- Electrical testing requirements
- Impedance requirements
- Special manufacturing instructions
- Applicable industry or customer specifications
- Inspection and documentation requirements
The Customer is responsible for ensuring that all submitted files and documents are consistent with one another.
HT Global Circuits may identify apparent discrepancies or manufacturing concerns during its review process. However, any review performed by HT Global Circuits is intended to support manufacturability and production and does not transfer responsibility for the Customer’s design, specifications, or intended functionality to HT Global Circuits.
If incomplete, inconsistent, inaccurate, or changed information affects manufacturing, pricing, or delivery, HT Global Circuits may place the order on hold, request clarification, revise the quotation, adjust the schedule, or charge additional costs reasonably associated with the change.
5. Manufacturing Review and Customer Approval
HT Global Circuits may review customer-supplied manufacturing data for manufacturability, process requirements, and compliance with applicable production capabilities.
Where clarification or customer approval is required before manufacturing can proceed, production may be placed on hold until the required information or approval is received.
Any delay resulting from incomplete information, late approvals, revised files, engineering clarification, or other Customer action or omission may result in a corresponding adjustment to the production or delivery schedule.
Unless otherwise agreed in writing, Customer approval of manufacturing data confirms that the Customer accepts the applicable specifications used for production.
6. Order Acceptance
Submission of a purchase order, RFQ, or other order request does not by itself constitute acceptance by HT Global Circuits.
An order is accepted when HT Global Circuits issues an order acknowledgment, written confirmation, or otherwise confirms acceptance of the order.
HT Global Circuits may decline or place an order on hold where:
- Required information is incomplete or inconsistent;
- The requested specifications cannot reasonably be manufactured;
- Required materials are unavailable;
- The Customer’s account is not in good standing;
- Payment requirements have not been satisfied;
- The order presents applicable legal, regulatory, export-control, sanctions, or compliance concerns; or
- Other material circumstances prevent HT Global Circuits from reasonably fulfilling the order.
7. Lead Times and Delivery
Quoted lead times are estimates unless expressly identified in writing as a firm delivery commitment.
Lead time may depend on:
- Receipt and approval of complete manufacturing data;
- Material availability;
- Customer responses and approvals;
- Manufacturing requirements;
- Testing and inspection requirements;
- Shipping conditions; and
- Events outside HT Global Circuits’ reasonable control.
If an order is delayed because HT Global Circuits is waiting for Customer information, approval, payment, or other action, the applicable delivery schedule may be adjusted accordingly.
Partial shipments may be made where commercially reasonable or where agreed upon by the parties.
Shipping terms, delivery location, carrier, freight charges, and transfer of risk will be governed by the applicable quotation or order documentation.
8. Payment Terms
Payment terms will be stated in the applicable quotation, order acknowledgment, or invoice.
Unless otherwise agreed in writing:
- Invoices are due according to the payment terms stated on the invoice.
- Customers without approved credit terms may be required to pay in advance or before shipment.
- HT Global Circuits may suspend production, shipment, or other performance if amounts due are not paid when required.
- The Customer may not deduct, offset, or withhold amounts from an invoice unless HT Global Circuits has agreed to such deduction or offset in writing.
- The Customer is responsible for reasonable costs incurred by HT Global Circuits in collecting overdue amounts, to the extent permitted by applicable law.
HT Global Circuits may modify or withdraw credit terms based on payment history, creditworthiness, or other legitimate business considerations.
9. Taxes, Duties, Tariffs, and Shipping Charges
Unless otherwise stated in writing, the Customer is responsible for applicable sales taxes, use taxes, customs duties, tariffs, import charges, brokerage charges, freight, insurance, and other governmental or transportation charges associated with the order.
For international shipments, the Customer is responsible for complying with applicable import requirements and for payment of applicable duties, taxes, tariffs, and customs charges unless otherwise agreed in writing.
Any tariff, duty, freight, or governmental charge that becomes applicable after quotation or order acceptance may be charged to the Customer where permitted by the applicable transaction terms.
10. Changes to Orders
Requests to change an order after acceptance may include changes to:
- Quantity;
- Board specifications;
- Materials;
- Copper weights;
- Layer count;
- Dimensions;
- Surface finishes;
- Testing requirements;
- Delivery schedules; or
- Manufacturing data.
HT Global Circuits will evaluate requested changes and may determine that the change requires a revised price, lead time, or other order condition.
No requested change is effective until accepted by HT Global Circuits in writing.
11. Order Cancellation
An order may not be cancelled unilaterally after acceptance.
If the Customer requests cancellation, HT Global Circuits may approve the cancellation subject to applicable cancellation charges.
Cancellation charges may include, as applicable:
- Completed PCB manufacturing work;
- Work in process;
- Materials purchased or committed for the order;
- Special or non-cancellable materials;
- Manufacturing setup or tooling costs;
- Testing or inspection costs;
- Third-party charges;
- Shipping or handling costs; and
- Other reasonable costs incurred as a result of the cancellation.
If an order has been substantially completed, cancellation may not be available.
Any approved cancellation will be confirmed by HT Global Circuits in writing.
12. Customer-Owned Materials and Information
Where the Customer provides materials, tooling, documentation, test requirements, or other property for use in manufacturing, the Customer represents that it has the right to provide such items to HT Global Circuits.
The Customer is responsible for ensuring that customer-supplied materials and information are properly identified and suitable for the intended manufacturing process.
HT Global Circuits will use commercially reasonable care in handling Customer property while it is in HT Global Circuits’ possession.
Unless otherwise agreed in writing, HT Global Circuits is not responsible for delays or additional costs caused by defective, incomplete, damaged, late, or otherwise unsuitable Customer-supplied materials or information.
13. Product Inspection and Acceptance
The Customer should inspect delivered PCBs promptly after receipt.
Any claim relating to quantity, visible damage, or apparent non-conformity should be submitted to HT Global Circuits in writing within the period specified in the applicable quotation, order acknowledgment, or warranty terms.
A claim should include sufficient information to allow HT Global Circuits to investigate the issue, including the applicable order number, product identification, quantity affected, description of the alleged non-conformity, and supporting documentation or photographs where appropriate.
The Customer should not modify, process, assemble, or otherwise alter allegedly defective PCBs before providing HT Global Circuits with a reasonable opportunity to investigate, except where necessary to prevent further damage or as otherwise agreed in writing.
14. Limited Product Warranty
Subject to the terms of the applicable quotation and order documentation, HT Global Circuits warrants that bare PCBs manufactured by HT Global Circuits will, at the time of shipment, materially conform to the mutually agreed manufacturing specifications and applicable workmanship requirements.
The applicable warranty period, if different from the standard warranty described in the applicable quotation or order documentation, will be stated in those documents.
HT Global Circuits’ warranty does not cover defects, failures, or damage resulting from:
- Customer-supplied design or manufacturing data;
- Specifications supplied or approved by the Customer;
- Improper handling, storage, installation, or use;
- Processing or modification of the PCB after shipment;
- Assembly or incorporation of components by the Customer or a third party;
- Electrical, mechanical, thermal, or environmental conditions outside specified limits;
- Accidents, abuse, misuse, or neglect;
- Unauthorized modification or repair;
- Damage occurring after transfer of risk; or
- Other circumstances outside HT Global Circuits’ manufacturing responsibility.
If a valid warranty claim is confirmed, HT Global Circuits may, at its option and as permitted by applicable law, repair, replace, remake, or issue a credit for the affected PCBs.
The warranty remedies described in the applicable order documentation are the Customer’s exclusive remedies for a covered manufacturing defect, subject to applicable law.
15. Disclaimer of Other Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HT GLOBAL CIRCUITS MAKES NO WARRANTIES OTHER THAN THOSE EXPRESSLY PROVIDED IN THE APPLICABLE WRITTEN WARRANTY TERMS.
HT GLOBAL CIRCUITS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.
HT GLOBAL CIRCUITS DOES NOT WARRANT THAT A CUSTOMER’S PRODUCT, SYSTEM, OR APPLICATION WILL ACHIEVE A PARTICULAR PERFORMANCE RESULT, AS SUCH PERFORMANCE DEPENDS ON FACTORS BEYOND HT GLOBAL CIRCUITS’ CONTROL, INCLUDING THE CUSTOMER’S DESIGN, APPLICATION, COMPONENTS, OPERATING CONDITIONS, AND SYSTEM INTEGRATION.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HT GLOBAL CIRCUITS’ TOTAL LIABILITY ARISING OUT OF OR RELATING TO AN ORDER, PRODUCT, OR SERVICE WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER FOR THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HT GLOBAL CIRCUITS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, LOSS OF USE, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE PRODUCTS OR SERVICES.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

The Customer grants HT Global Circuits the limited right necessary to use such information for quotation, review, manufacturing, quality control, testing, fulfillment, and related purposes.
HT Global Circuits retains ownership of its proprietary manufacturing processes, know-how, methods, tools, systems, software, documentation, and other intellectual property that it independently owns or develops.
The Customer represents and warrants that it has the necessary rights to provide all Customer-supplied materials and that manufacturing products according to the Customer’s specifications will not knowingly infringe a third party’s intellectual property rights.
18. Confidentiality
HT Global Circuits will use commercially reasonable measures to protect confidential Customer information provided for the purpose of quotation, manufacturing, or order fulfillment.
Confidential information does not include information that:
- Is or becomes publicly available without breach of an obligation;
- Was lawfully known to HT Global Circuits before disclosure;
- Is received lawfully from a third party without a confidentiality obligation;

Where appropriate, separate confidentiality or nondisclosure agreements may govern specific Customer programs or information.

The Customer is responsible for complying with applicable U.S. and foreign export-control, import, sanctions, and trade laws relating to products purchased from HT Global Circuits.
The Customer shall not use, export, re-export, transfer, or otherwise dispose of products in violation of applicable laws or regulations.
Where applicable, the Customer is responsible for providing accurate export-control information, classifications, licenses, authorizations, end-use information, and other documentation reasonably required to process an order.
HT Global Circuits may suspend, reject, or terminate an order where necessary to comply with applicable export controls, sanctions, government requirements, or internal compliance procedures.
The Customer will not knowingly provide HT Global Circuits with information that it is legally prohibited from sharing or that requires handling restrictions beyond those agreed with HT Global Circuits.
20. Government and Controlled Program Requirements
For defense, aerospace, government, or other controlled programs, the Customer is responsible for identifying applicable contractual, regulatory, security, export-control, marking, documentation, and handling requirements before submitting an RFQ or order.
